Terms of Use

These Terms of Service (“Agreement”) are a legally binding contract between The Bounty App, Inc., DBA Supermodel (“Supermodel,” “we,” “our,” or “us”) and the organization or individual (“Customer,” “you,” or “your”) accessing or using the Supermodel API (“Service”). By accessing or using the Service, you agree to be bound by this Agreement. If you are accepting this Agreement on behalf of an organization, you represent that you have authority to bind that organization.

  1. Overview of Service

Supermodel provides an API that allows Customers to process code files to generate structured graph payloads and code insights (“Outputs”). The Service processes uploaded content ephemerally and does not persist, index, or reuse Customer Data beyond the duration required to generate Outputs. Enterprise customers may elect to deploy the Service within a Virtual Private Cloud (“VPC”) environment.

  1. Accounts and Access

Access to the Service requires an API key or credentials provided by Supermodel. Customers are responsible for maintaining the confidentiality of their API keys and for all activities conducted under their account. Supermodel reserves the right to suspend or terminate accounts that violate these Terms.

  1. License and Restrictions

Supermodel grants Customer a limited, non-exclusive, revocable, non-transferable right to use the Service in accordance with this Agreement. Customer may not reverse engineer, resell, or sublicense the Service. Customer shall not use the Service to develop a competing product or upload harmful or unlawful content.

  1. Prohibited Data

Customer agrees not to transmit any data containing: (a) protected health information; (b) payment card or financial account data; (c) data relating to minors; (d) social security numbers or government identifiers; or (e) any information subject to special data protection laws. Supermodel automatically excludes sensitive file types such as “.env”, “.pem”, and similar credential files from processing.

  1. Ephemeral Data Processing

All Customer Data submitted to the API is processed ephemerally. Supermodel does not store or index Customer Data or Outputs after completion of the API request. Data may be temporarily cached only as required for processing and securely deleted thereafter.

  1. Outputs and Accuracy Disclaimer

Outputs generated by the Service are approximate and may contain errors, omissions, or incomplete relationships. Supermodel makes no warranties as to the accuracy, completeness, or suitability of Outputs for production or decision-making use. Customer assumes sole responsibility for reliance on Outputs.

  1. Fees and Payment

Certain Service tiers may require payment of fees. Fees are outlined on the Supermodel pricing page or applicable order form. Fees are non-refundable unless otherwise stated. Late payments may incur a 1.5% monthly service charge or the maximum allowed by law.

  1. Data Handling and Privacy

Supermodel processes Customer Data only as necessary to provide the Service. Usage Data, such as logs and performance metrics, may be collected to improve the Service but will not contain identifiable Customer Data. Supermodel implements industry-standard security measures to protect data in transit and during processing.

  1. Suspension and Termination

Supermodel may suspend or terminate access to the Service if Customer violates these Terms, transmits prohibited data, or poses a security risk. Upon termination, all access to the Service ceases immediately, and all transient data will be deleted.

  1. Ownership

Customer retains ownership of all intellectual property rights in its code and input data. Supermodel retains ownership of the Service, including all software, APIs, documentation, and generated schema structures. Feedback provided by Customer may be used by Supermodel without restriction.

  1. Warranties and Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SUPERMODEL DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. SUPERMODEL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

  1. Embedded Data Processing Agreement (DPA)
    12.1 Scope and Roles

This Data Processing Agreement (“DPA”) applies to any personal data processed by Supermodel on behalf of Customer under this Agreement. Customer acts as “Controller” and Supermodel acts as “Processor.”

12.2 Processing Details

Nature: Transient processing of code to generate graph payloads.
Purpose: To provide API functionality.
Duration: Ephemeral; data is deleted immediately after processing.
Categories of Data Subjects: Developers or users submitting code.
Categories of Personal Data: Limited metadata contained within submitted files, if any.

12.3 Supermodel Obligations

Supermodel shall process Customer Data only per Customer’s documented instructions, maintain confidentiality, and implement appropriate technical and organizational measures to protect data. Supermodel shall notify Customer without undue delay upon becoming aware of a personal data breach.

12.4 Subprocessors

Customer authorizes Supermodel to use subprocessors for hosting and infrastructure services, including AWS, GCP, Azure, and Cloudflare. Supermodel will maintain an updated list of subprocessors and notify Customers of material changes.

12.5 International Transfers

Where applicable, Supermodel relies on Standard Contractual Clauses for data transfers outside the EEA or UK. Delaware law governs this Agreement.

12.6 Deletion

Supermodel automatically deletes Customer Data after completion of processing. Upon Customer request, written certification of deletion will be provided for enterprise accounts.

12.7 Security

Supermodel maintains industry-standard security measures including encryption in transit, ephemeral memory isolation, and restricted employee access.

  1. Confidentiality

Each party agrees to maintain the confidentiality of the other’s proprietary information and to use such information only for purposes of this Agreement.

  1. Indemnification

Customer agrees to indemnify and hold harmless Supermodel from claims arising from Customer’s misuse of the Service or transmission of prohibited data. Supermodel will indemnify Customer from claims that the Service infringes third-party intellectual property rights.

  1. Limitation of Liability

IN NO EVENT WILL SUPERMODEL’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNTS PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SUPERMODEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

  1. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Delaware without regard to conflicts of laws principles. The parties consent to the exclusive jurisdiction of the Delaware Court of Chancery.

  1. Changes to Terms

Supermodel may modify these Terms from time to time. Material changes will take effect 30 days after notification. Continued use of the Service after such period constitutes acceptance of the updated Terms.

  1. Miscellaneous

This Agreement constitutes the entire agreement between the parties. If any provision is held invalid, the remaining provisions will remain in effect. Neither party may assign this Agreement without prior written consent, except that Supermodel may assign it in connection with a merger or acquisition.
