Extension Terms of Use

These Terms of Service (“Agreement”) are a legally binding contract between The Bounty App, Inc. (DBA Supermodel) (“Supermodel,” “we,” “our,” or “us”) and the individual or organization (“User,” “you,” or “your”) installing or using the Supermodel Visual Studio Code or Open VSX Marketplace extension (the “Extension”). By installing, accessing, or using the Extension, you agree to this Agreement. If you are accepting this Agreement on behalf of an organization, you represent that you have authority to bind that organization.

  1. Overview of Service

The Extension integrates with your development environment to analyze code and generate graph-based insights (“Outputs”) by communicating with the Supermodel API. Uploaded code files are processed ephemerally and deleted after processing, except that for paying users, graph structures (not code) may be stored on Supermodel’s servers for account access. Free plan users receive limited usage quotas, which may change over time.

  1. Account Creation and Authentication

Users must sign in through GitHub to use the Extension. Upon registration, Supermodel automatically provisions an associated account and API key behind the scenes. Users are responsible for maintaining the security of their GitHub account and for all activity under their Extension account.

  1. License and Restrictions

Supermodel grants User a limited, non-exclusive, non-transferable, revocable license to install and use the Extension. User may not (a) reverse engineer or modify the Extension; (b) distribute or sublicense it; or (c) use it to build a competing product or service. Use of the Extension in violation of applicable laws, or in a manner that infringes third-party rights, is prohibited.

  1. Data Handling and Storage

The Extension transmits code files to Supermodel’s servers for analysis, which are processed ephemerally and deleted upon completion. For paying users, graph data and metadata may be stored to support persistent access. Sensitive files such as “.env,” “.pem,” and other credential-related files are automatically excluded from processing. Supermodel may temporarily cache transient logs or metadata for performance optimization.

  1. Telemetry and Usage Metrics

The Extension collects anonymized usage metrics, including feature usage, activation events, and performance statistics, to improve the product. No source code content is collected through telemetry. Users may disable telemetry through the Extension’s settings panel.

  1. Payments and Plans

The Extension offers a free plan allowing one free graph generation per account, subject to modification by Supermodel. Continued or higher-volume usage requires a paid plan. Supermodel reserves the right to modify usage limits or pricing upon notice.

  1. Outputs and Accuracy Disclaimer

Outputs generated by the Extension are approximate representations of code relationships and may contain errors or omissions. Supermodel does not warrant the accuracy or completeness of any Outputs and disclaims all liability for reliance on such results.

  1. Embedded Data Processing Agreement (DPA)
    8.1 Scope and Roles

This DPA applies to Supermodel’s processing of personal data via the Extension. User acts as “Controller,” and Supermodel acts as “Processor.”

8.2 Processing Details

Nature: Transient processing of code and retention of graph structures for paid users.
Purpose: Provide code graph generation and storage services.
Duration: For free users, data is deleted after processing; for paid users, graphs are retained for the duration of their subscription and deleted within 30 days after termination.

8.3 Obligations of Supermodel

Supermodel processes personal data only as necessary to provide the Service, ensures confidentiality, and applies industry-standard technical and organizational security measures. Supermodel will promptly notify User of any data breach involving personal data.

8.4 Subprocessors

User authorizes Supermodel to engage subprocessors for hosting and telemetry, including AWS, GCP, Azure, and Cloudflare. A list of subprocessors will be maintained and updated on Supermodel’s website.

8.5 International Transfers

Where applicable, Supermodel uses Standard Contractual Clauses for international transfers. The Agreement is governed by Delaware law.

8.6 Data Retention and Deletion

Supermodel deletes ephemeral processing data immediately after completion. For paid users, stored graph data will be deleted within 30 days after termination or upon written request.

8.7 Security

Supermodel maintains industry-standard security protocols, including encryption in transit, role-based access control, ephemeral data isolation, and restricted employee access.

  1. Marketplace Terms and Updates

The Extension is distributed through the Visual Studio Code and Open VSX Marketplaces and is subject to their respective end-user license agreements. By installing or using the Extension, you agree to the Microsoft and Open VSX Marketplace terms. Supermodel may automatically update the Extension to maintain compatibility or add new features.

  1. Confidentiality and Intellectual Property

User retains ownership of all intellectual property rights in their code and content. Supermodel retains ownership of the Extension, the Supermodel API, and any stored graph data structures. Feedback provided by User may be used by Supermodel without restriction.

  1. Warranties and Disclaimers

THE EXTENSION AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SUPERMODEL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUPERMODEL DOES NOT WARRANT THAT THE EXTENSION WILL BE ERROR-FREE OR UNINTERRUPTED.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERMODEL’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY USER FOR THE EXTENSION OR SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SUPERMODEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

  1. Termination and Suspension

Either party may terminate this Agreement at any time. Supermodel may suspend or terminate access for misuse, non-payment, or violation of these Terms. Upon termination, stored graph data will be deleted within 30 days.

  1. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The parties consent to exclusive jurisdiction in the Delaware Court of Chancery.

  1. Changes to Terms

Supermodel may modify these Terms from time to time. Material changes will take effect 30 days after notice via the Marketplace or the Supermodel website. Continued use constitutes acceptance of updated Terms.
